The properties and assets purchased are hereby referred to as The Assigned Interests.

In consideration for the transfer and sale by The Company of the Assigned Interests to The Purchaser, The Purchaser would pay $____________ to The Company. The payment terms would be as follows:





The Purchaser and Company will comply with all applicable laws in carrying out the above described transaction.

The Company has good title and ownership to the above referenced Assigned Interests.

The Company hereby guarantees that the Assigned Interests are free from any obligation and defects.

There is no pending proceeding that has been started against The Company and The Purchaser that would interfere in any way with the contemplated transaction.

The Purchaser nor The Company will make any public disclosure about the transaction prior to the closing.

The Company agrees that going forward from the date on this term sheet through to the closing date, The Company will not solicit nor accept offers with respect to The Assigned Interests.
