Non Compete Agreement:
(a) While this agreement is active and in force along with after its expiration or termination, John Smith agrees to not disclose ACME USA's customer lists, trade secrets, or any other confidential material or information. John Smith does hereby agree to take proper security measures to prevent accidental disclosure and or industrial espionage.
(b) While this agreement is active, the above mentioned employee will to his or her best effort to fulfill their job requirements and to also follow the both the nondisclosure and noncompetition terms of this agreement; the above mentioned employer hereby agrees to compensate the employee along with current industry standards that are customary and reasonable. Following the expiration or termination of this agreement, John Smith agrees not to compete with ACME USA for six months within a 100 mile radius of ACME USA. If the previously mentioned company violates any part of this agreement this prohibition is forfeited.
The above used term competition refers to working for a business that is in the same industry as ACME USA.
(c) John Smith agrees to pay all liquidated damages in the amount of $10,000 for any violation of this agreement not to compete that is included in sub-paragraph (b).

This contract shall be governed by the laws of the State of _____ in ______ County and any applicable Federal Law.
